These Terms of Service (“Terms”) are a legal agreement between you (“Merchant”,
“you”) and HIVE MORPH(“HiveMorph”, “we”, “us”, “our”) governing
your access to and use of the HiveMorph application, website, and related
services (collectively, the “Service”).
By installing HiveMorph on your Shopify store, creating an account, or using
the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must:
- Be at least 18 years old (or the age of majority in your jurisdiction)
- Have authority to bind the business that owns the Shopify store
- Maintain a valid Shopify store in good standing
- Provide accurate registration and billing information
2. Description of the Service
HiveMorph is an AI-powered website engineering platform for Shopify merchants.
The Service includes, but is not limited to:
- Theme file synchronization — copying your Shopify theme source code to
our servers for analysis and editing - File explorer and dependency graph — browsing and understanding theme structure
- AI bug fixer — generating code patches based on your descriptions
- Audits — SEO, UX, performance, accessibility, policy, and GDPR scans
- Preview, publish, and rollback — applying approved changes via draft themes
- Credit-based usage billing — measured per feature action
Feature availability may vary by plan. We may add, modify, or discontinue
features with reasonable notice.
3. Shopify connection and permissions
By installing HiveMorph, you authorize us to access your Shopify store via
the OAuth permissions you approve, including theme, content, and file scopes.
You may revoke access at any time by uninstalling the app from your Shopify Admin.
You are responsible for ensuring you have the right to grant these permissions
for the connected store.
4. Theme file sync and modifications
4.1 Sync
HiveMorph synchronizes your theme files to provide its features. See our
Data Handling & Theme Sync Policy for full details.
4.2 AI-generated changes
AI outputs are recommendations, not guarantees. You are solely responsible
for reviewing, testing, and approving any change before publishing to your
live storefront. We strongly recommend using the preview feature before publish.
4.3 No liability for published changes
We are not liable for storefront issues, lost revenue, SEO ranking changes,
or compliance gaps resulting from changes you approve and publish.
4.4 Rollback
We provide version snapshots before publish to support rollback. Rollback
availability depends on your plan and snapshot retention period.
5. Acceptable use
You agree not to:
- Use the Service for unlawful purposes or in violation of Shopify’s
Partner Program Agreement or
Acceptable Use Policy - Attempt to access other merchants’ data or bypass tenant isolation
- Reverse engineer, decompile, or scrape the Service
- Circumvent billing, credit limits, or rate limits
- Upload malicious code or use the Service to distribute malware
- Resell or sublicense the Service without written permission
- Use the Service to generate content that infringes third-party intellectual property
We may suspend or terminate your account for violations.
6. Billing and payment
6.1 Plans and credits
HiveMorph offers subscription plans with monthly credit allocations.
Additional credits may be purchased as top-ups. Credit costs per feature
are displayed in the app.
6.2 Shopify Billing
Paid subscriptions and charges are processed through the Shopify Billing API
and appear on your Shopify invoice. By selecting a paid plan, you authorize
Shopify to charge your account per the selected plan.
6.3 Free trial
New organizations may receive a one-time free trial credit allocation.
Free trial terms are described in the app at signup.
6.4 Taxes
Prices exclude applicable taxes unless stated otherwise. You are responsible
for any taxes associated with your purchase.
6.5 Refunds
Refunds are governed by our Refund Policy.
7. Intellectual property
7.1 Your content
You retain all ownership rights to your theme files, store content, brand
assets, and data. We claim no ownership over your content.
7.2 Our platform
HiveMorph software, user interface, algorithms, documentation, and branding
are our intellectual property. These Terms do not grant you any rights to
our IP except the limited license to use the Service.
7.3 AI outputs
Patches, recommendations, and generated content produced for your store are
licensed to you for use within your connected Shopify store(s).
7.4 Feedback
If you provide suggestions or feedback, we may use it without obligation
or compensation to you.
8. Privacy and data
Your use of the Service is subject to our Privacy Policy,
Data Handling Policy, and Data Retention Policy.
When you uninstall HiveMorph, your store data is deleted per our retention
schedule.
9. Third-party services
The Service integrates with third-party providers including Shopify, OpenAI,
and cloud infrastructure providers. See our Subprocessors
page. Your use of Shopify is governed by Shopify’s own terms.
We are not responsible for third-party service outages or policy changes.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY
KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING:
- AI-generated code and audit results are not legal, tax, security, or professional advice
- We do not guarantee specific SEO rankings, conversion rates, or error-free themes
- We do not guarantee uninterrupted or error-free operation
- Compliance audit features identify potential gaps; they do not constitute
legal compliance certification
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR
PUNITIVE DAMAGES - OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE
IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS
PRECEDING THE CLAIM, OR (B) USD $100
Some jurisdictions do not allow certain limitations; in those cases, our
liability is limited to the fullest extent permitted by law.
12. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses
(including reasonable legal fees) arising from:
- Your use of the Service
- Content you publish to your storefront via HiveMorph
- Your violation of these Terms or applicable law
13. Termination
13.1 By you
Uninstall the app from Shopify Admin at any time.
13.2 By us
We may suspend or terminate your access for Terms violations, non-payment,
or if required by law. We will provide reasonable notice where practicable.
13.3 Effect of termination
Upon termination, your right to use the Service ends. Data deletion follows
our Data Retention Policy. Sections that should survive
(billing obligations, disclaimers, liability, indemnification, governing law)
remain in effect.
14. Changes to these Terms
We may update these Terms. Material changes will be communicated via the app,
email, or website notice at least 14 days before taking effect. Continued use
after the effective date constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of [STATE/COUNTRY], without regard to
conflict-of-law principles. Disputes shall be resolved in the courts of
[JURISDICTION], and you consent to personal jurisdiction there.
